Terms of service

These terms govern your access to and use of PharmaFlow (the "Service"), provided by Venmara ("we", "us"). By creating an account or using the Service, you agree to these terms. If you are agreeing on behalf of a pharmacy or other organisation, you confirm that you are authorised to bind it.

The Service

PharmaFlow is pharmacy management software that provides point of sale, inventory and batch tracking, prescriptions, a controlled-substance register, refunds, staff and branch management, reporting and related features. We may add, change or remove features over time.

Accounts and access

  • You must provide accurate account information and keep it up to date.
  • You are responsible for your login credentials and for activity under your account.
  • The pharmacy owner and administrators control who has access and what each role can do.
  • You must notify us promptly of any unauthorised use or security concern.

Acceptable use

You agree not to:

  • Use the Service unlawfully or to store or process data you have no right to.
  • Attempt to breach, probe or disrupt the security or integrity of the Service.
  • Reverse engineer, resell or provide the Service to third parties except as permitted.
  • Use the Service to dispense or record medicines in a way that breaks the law.

Professional and regulatory responsibility

The Service is a tool. It does not provide pharmaceutical, medical, legal or accounting advice. You remain solely responsible for lawful and professional operation of your pharmacy, including the correct handling and dispensing of controlled substances, the accuracy of your records, and compliance with all licensing and regulatory requirements that apply to you.

Subscriptions, billing and payment

  • Paid plans are billed per active branch on the cadence you choose (monthly, quarterly or annually). Prices are shown in whole Ghana Cedis.
  • Payments are processed by a third-party payment provider. You authorise the applicable charges.
  • If a payment is not made, you keep full access for a 7-day grace period, after which access is limited until the subscription is brought current.
  • Except where required by law, payments are non-refundable. Plan changes take effect according to your billing cadence.
  • We may change prices with reasonable notice, effective from your next billing period.

Your data

As between you and us, the data your pharmacy enters into the Service belongs to you. You grant us the rights needed to host and process it in order to provide the Service. Our handling of personal data is described in our privacy policy. You are responsible for the accuracy and lawfulness of the data you enter.

Availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may perform maintenance, and features may occasionally be unavailable. We are not liable for issues caused by third-party networks, devices or payment providers outside our control.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these terms, non-payment, or to protect the Service or other users. On termination, your right to use the Service ends. We will make your data available for a reasonable period for export where practicable, after which it may be deleted subject to legal retention requirements.

Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Venmara will not be liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

Indemnity

You agree to indemnify Venmara against claims arising from your unlawful use of the Service or your breach of these terms or of applicable pharmacy regulations.

Governing law

These terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have jurisdiction over any dispute, without prejudice to any mandatory consumer protections that apply to you.

Changes to these terms

We may update these terms from time to time. We will change the "last updated" date above and, for significant changes, provide a more prominent notice. Continued use of the Service after a change means you accept the updated terms.
